Draft: these terms are waiting for review by our lawyer and may change before StorageGuru's official launch.
The short version: StorageGuru is software that helps you run your storage lot. The rental is between you and your renter. Rent goes straight to you through Stripe; we never hold it. You pay $3 a month for each space that paid you rent that month, and you agree to record the rent you receive. Your rental agreement is your responsibility.
These terms are an agreement between you and StorageGuru [legal company name, LLC, to be filled in] ("StorageGuru", "we", "us"). By creating an account or using storageguru.app, you agree to them. If you don't agree, please don't use StorageGuru.
1. What StorageGuru is (and isn't)
StorageGuru is software for people who rent out storage space for boats, RVs, trailers and similar things ("owners"). It helps owners take requests, send and sign rental agreements, collect rent online, send reminders and keep records.
StorageGuru is not a storage company, landlord, broker or insurance company, and is not a party to any rental. Each rental agreement is only between the owner and the renter. We don't own, run, inspect or guard any lot, and we aren't responsible for anything stored on one.
2. Your account
- You must be at least 18 and able to make a binding agreement, and you use StorageGuru for your business.
- Give true information and keep it up to date.
- Keep your password private and don't share your login. You're responsible for what happens under it. Tell us right away at support@storageguru.app if you think someone else got in.
- You and StorageGuru are independent businesses. You are not our agent, employee or partner, and we are not yours. Neither of us can make promises or sign agreements for the other. Please don't tell renters that StorageGuru guarantees anything about your lot or your rentals.
3. What it costs
- Setting up your lot and empty spaces are always free. You pay nothing until you rent a space.
- The price is $3 per month for each space that paid you rent that month. A space whose renter paid you nothing that month (for example, a failed card or an unpaid cash renter, or a month the renter doesn't store with you) costs nothing. Some owners have a different price we agreed with them (for example, a founding-member price); that price is shown on your Billing page.
- Rent paid online: our fee comes out of each payment automatically, through Stripe, before the rest reaches you. If you refund that payment in full through Stripe, our fee is given back.
- Rent paid any other way (cash, check, Zelle, Venmo and so on): on the 1st of each month we charge the card you saved with us for last month's spaces whose rent you received outside StorageGuru, and email you an itemized bill. If the charge fails, we try again daily for two weeks and then weekly.
- You agree to record the rent you receive in StorageGuru for every space you manage in it, because our fee is based on rent received. You can always see what you've been charged and why on your Billing page.
- Fees already charged aren't refundable, except when a full Stripe refund returns our fee as described above, or where the law requires.
- If we change the price, we'll email you at least 30 days before the new price applies.
- If a bill stays unpaid, we'll email you and give you 30 days to catch up before pausing any features. Even then, you'll always be able to see and download your records.
- Taxes on the rent you collect, and any sales tax your state charges on software you buy, are yours to handle.
4. Rent and payments: we never hold your money
- Online rent goes directly from your renter to your own Stripe account. StorageGuru never receives or holds rent. To take online payments you must also agree to Stripe's own terms, including the Stripe Connected Account Agreement. Stripe, not StorageGuru, handles your payouts.
- Card and bank processing fees are yours to pay or to pass on to your renters, as you choose in StorageGuru. StorageGuru doesn't pay them.
- Refunds, deposits, late fees and disputes are between you and your renter. StorageGuru doesn't issue refunds of rent or decide disagreements. Online refunds are made in your own Stripe dashboard.
5. Your rental agreement is your responsibility
- You decide what your rental agreement says, whether you use our standard agreement, change it, or upload your own. Before any renter can sign, you confirm your agreement, and you're solely responsible for it.
- Our standard agreement is a plain-English starting point, not legal advice, and may not fit your state or your lot. We recommend having a lawyer review it.
- You're responsible for following the laws that apply to your business, including storage, lien and sale laws, taxes, insurance, consumer, privacy and email rules.
- Electronic signatures and records in StorageGuru are stored as described on the signing page. Whether a particular agreement is enforceable is between you, your renter and the law.
6. Your renters' information
You may only enter people's information that you have the right to use, and only use it to run your storage business. Our Privacy Policy explains how we handle it.
7. If you're a renter
Your rental agreement is with the lot owner, not StorageGuru. Questions about your space, rent, refunds or your vehicle go to the owner. StorageGuru only provides the software the owner uses.
8. Fair use
Don't use StorageGuru to break the law, to mislead or harass anyone, to send spam, or to try to get into accounts or data that aren't yours, and don't try to disrupt the service. Don't copy, resell or rent out StorageGuru itself, take its code apart, or use automated programs to copy its pages. We may suspend or close accounts that do.
StorageGuru, its name and its look belong to us; these terms don't give you any rights to them beyond using the service. If you send us ideas or suggestions, we're free to use them, with thanks and without owing you anything.
9. Your data
Your records are yours. You can download your payments, income and renter contact list at any time. You let us store and process them only to run StorageGuru for you, as our Privacy Policy describes.
10. The service
We work hard to keep StorageGuru running and accurate, but we can't promise it will always be available or free of mistakes, and we may change or improve features. StorageGuru is provided "as is", without warranties of any kind, to the extent the law allows. Keep your own copies of important records (the download buttons make this easy).
11. Limits on our responsibility
- To the extent the law allows, StorageGuru is not responsible for indirect or follow-on losses (such as lost rent, lost profits or lost data), or for anything about a rental, a lot, or anything stored on one.
- To the extent the law allows, our total responsibility for any claim is limited to the fees you paid StorageGuru in the 12 months before the claim.
12. Claims about your rentals
If someone makes a claim against StorageGuru because of your rentals, your lot, your agreement, or how you used StorageGuru, you agree to cover StorageGuru's reasonable costs of that claim, including legal fees.
13. Ending
You can stop using StorageGuru at any time; write to us to close your account. Fees for rent you already received are still owed. We may suspend or close an account that breaks these terms or doesn't pay, and will tell you why. We'll give at least 30 days' notice before closing an account for any other reason, so you can download your records.
14. Things outside anyone's control
Neither of us is responsible for delays or outages caused by things outside our reasonable control, such as storms, power or internet failures, outages at the companies that help run StorageGuru (like Stripe or Google), or government action. This doesn't excuse paying fees already owed.
15. Changes to these terms
If we make an important change, we'll email you at least 30 days before it takes effect. Using StorageGuru after that means you accept the new terms.
16. Law and disputes
These terms are governed by the laws of [state, to be filled in], and disputes will be handled in [courts, to be filled in]. Before going to court, please write to us so we can try to fix it together.
17. The fine print
- These terms (with the Privacy Policy) are the whole agreement between us about StorageGuru.
- If a court finds part of them unenforceable, the rest still applies.
- If we don't enforce something right away, we can still enforce it later.
- We may send notices by email to the address on your account, so keep it current.
- We may transfer this agreement to a company we form or to a business that takes over StorageGuru, and it continues on the same terms. You may not transfer your account without our OK.
- These terms are between you and StorageGuru only; nobody else can enforce them.
